General B2B terms and conditions
Version 1 of 23/10/2026
1. Who we are and when these terms apply
Place Réservée Trade is the ordering platform for professional customers of:
SUNSET BV
Steenhouwersvest 12, 2000 Antwerp, Belgium
Company number (VAT BE) 1032.386.440
E-mail: info@placereservee.com – telephone: +32 3 232 10 21
These general B2B terms and conditions apply to every order and every delivery to a professional customer (the "customer"), whether the order is placed via Place Réservée Trade, by an agent of Place Réservée or in any other way. The customer acts in the course of its business or profession; the rules for consumers (such as the right of withdrawal) do not apply.
Deviations only apply if SUNSET BV confirms them in writing. The customer's own general terms and conditions do not apply, even if they appear on a purchase order or other document.
2. Account and access
The customer receives a personal login. The customer keeps its password secret and is responsible for all orders placed with its login. If misuse is suspected, the customer informs SUNSET BV immediately. SUNSET BV may block a login in case of misuse or unpaid invoices.
3. Orders and formation of the contract
The offer in the app is without obligation and valid while stocks last. Availability shown in the app is indicative.
An order in the app (by the customer or by an agent on the customer's behalf) is binding on the customer. The contract is formed when SUNSET BV confirms the order with an order confirmation by e-mail. SUNSET BV may refuse an order in whole or in part, for example in case of insufficient stock or unpaid invoices; the customer is then not entitled to any compensation.
Agents are not authorised to deviate from these terms or from the prices on behalf of SUNSET BV.
4. Prices and minimum order value
All prices are in euro and exclusive of VAT, according to the price list applicable to the customer. Prices in the app are indicative; the prices, VAT and shipping costs on the order confirmation are binding. Obvious pricing errors may be corrected even after confirmation.
Every order is subject to a minimum order value (excluding VAT and shipping costs), as stated in the app. SUNSET BV may refuse orders below that amount or charge additional costs.
5. Payment
Invoices are payable within the payment term stated on the invoice. SUNSET BV may require advance payment for a first order, for a new customer or in case of unpaid invoices.
In case of late payment, interest is due by operation of law and without notice of default in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, together with the fixed compensation for recovery costs provided for in that Act. SUNSET BV may suspend current orders and deliveries as long as invoices remain unpaid.
The customer reports any dispute about an invoice in writing within eight days of the invoice date; after that, the invoice is deemed accepted.
6. Retention of title
Delivered goods remain the property of SUNSET BV until full payment of the price, costs and any interest. The risk, however, passes to the customer on delivery. The customer may resell the goods in the normal course of its business, but may not pledge them or use them as security as long as they have not been paid in full.
7. Delivery
Delivery times are indicative. A delay does not entitle the customer to compensation or to cancel the order, unless agreed otherwise in writing. SUNSET BV may make partial deliveries and invoice them separately.
Delivery takes place at the delivery address chosen when ordering, by a carrier of SUNSET BV. Shipping costs are stated on the order confirmation. The customer ensures that the goods can be received; the costs of a new delivery attempt are borne by the customer.
8. Inspection, complaints and returns
The customer inspects the goods on receipt. Visible defects, missing or wrong items and transport damage must be reported in writing (info@placereservee.com), with photos and the order number, within seven days of delivery. Hidden defects must be reported in writing within seven days of discovery and no later than six months after delivery.
Goods are only taken back with the written agreement of SUNSET BV, in their original condition and packaging. In case of a justified complaint, SUNSET BV chooses between repair, replacement, a credit note or a refund of the goods concerned. A complaint does not suspend the obligation to pay.
There is no right of withdrawal: it only applies to consumers.
9. Liability
The liability of SUNSET BV is in any case limited to the invoiced value (excluding VAT) of the goods concerned. SUNSET BV is not liable for indirect damage, such as loss of profit, loss of turnover or damage to third parties, except in case of intent or gross negligence.
Minor deviations in colour, size or finish compared to the photos and descriptions in the app are not a defect.
10. Force majeure
In case of force majeure (such as strikes, fire, epidemics, government measures, failures of suppliers or carriers), SUNSET BV may suspend performance or terminate the contract without compensation.
11. Intellectual property
Photos, texts and trademarks in the app remain the property of SUNSET BV or its suppliers. The customer may only use them to sell Place Réservée products, and may not modify them or use them for other purposes without written consent.
12. Personal data
How we process personal data is described in the privacy statement of Place Réservée Trade.
13. Changes to these terms
SUNSET BV may change these terms. A new version is published in the app; in case of a change in substance, the app asks the customer to accept the new version before ordering again. Each order is governed by the version in force at the time of the order.
14. Applicable law and competent court
All contracts are governed exclusively by Belgian law; the Vienna Convention on the International Sale of Goods is excluded. Disputes fall under the exclusive jurisdiction of the courts of the judicial district of Antwerp, Antwerp division.
